Welcome to KONNETEC. These Terms of Service ("Terms") govern your access to and use of KONNETEC's AI-powered vision detection and analysis platform ("Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our website, or using our API, you agree to comply with and be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

KONNETEC provides an AI-powered computer vision platform that offers:

• License Plate Recognition (ALPR): Automatic license plate detection and text extraction from images
• Vehicle Detection: Identification and analysis of vehicles in images
• Image Analysis: General-purpose object detection, text extraction, and image understanding
• ROI Selection: Region of interest tools for targeted analysis
• API Access: RESTful API for programmatic integration
• Webhook Integrations: Real-time notifications to your systems
• Detection History: Storage and management of analysis results

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to create an account
• One person or legal entity may not maintain more than one free account

3.2 Account Security

• You are solely responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized access or security breaches
• We reserve the right to suspend or terminate accounts that violate security policies
• Do not share your account credentials or API keys with third parties
• Multi-Factor Authentication: We strongly recommend enabling MFA (TOTP) for enhanced account security. You are responsible for securing your MFA backup codes. If you lose both your authenticator device and backup codes, contact your administrator for an MFA reset.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for lawful purposes, including but not limited to:

• Parking management and access control
• Security and surveillance applications
• Vehicle fleet management
• Traffic analysis and monitoring
• Property management and gate systems
• General image analysis and object detection

4.2 Prohibited Uses

You agree NOT to use the Service for:

• Illegal Activities: Any unlawful purpose or in violation of local, state, national, or international law
• Unauthorized Surveillance: Stalking, harassment, or monitoring individuals without their consent or legal authority
• Law Enforcement Impersonation: Impersonating law enforcement or government agencies
• Privacy Violations: Collecting or processing personal data without proper consent and legal basis
• Discriminatory Purposes: Using detection results for discrimination based on race, ethnicity, religion, or other protected characteristics
• System Abuse: Attempting to bypass rate limits, security measures, or accessing unauthorized data
• Malicious Activities: Introducing malware, viruses, or attempting to compromise system security
• Reselling: Reselling or redistributing our Service without explicit written permission
• Reverse Engineering: Attempting to reverse engineer, decompile, or extract our AI models

5. Subscription Plans and Billing

5.1 Pricing Plans

We offer multiple subscription tiers with different features and usage limits. Current pricing is available on our website and subject to change with 30 days notice.

5.2 Billing

• Payment: Subscription fees are charged monthly or annually based on your selected plan
• Auto-Renewal: Subscriptions automatically renew unless canceled before the renewal date
• Payment Methods: We accept major credit cards and other payment methods via our payment processor
• Taxes: Prices do not include applicable sales tax, VAT, or other taxes
• Failed Payments: Service may be suspended if payment fails; account may be terminated after repeated failures

5.3 Refunds

• Free trial cancellations: No refund required as no payment was made
• Paid subscriptions: Refunds are provided within 14 days of initial purchase only
• No partial refunds for unused time in monthly or annual subscriptions
• Refunds are issued to the original payment method within 10 business days

5.4 Usage Limits

• Each plan includes specific limits on API calls, detections, storage, and users
• Overage charges may apply if you exceed plan limits
• We may throttle or suspend service if you consistently exceed limits without upgrading

6. API Usage and Rate Limits

• API Keys: API keys are tied to your account and must be kept secure
• Rate Limits: Standard rate limits apply based on your subscription plan
• Authentication: All API requests must include valid authentication
• Abuse Prevention: We monitor API usage and may block abusive patterns
• Versioning: API endpoints may be versioned; deprecated versions will be supported for at least 6 months

7. Data Rights and Ownership

7.1 Your Data

• You retain all ownership rights to images and data you upload
• You grant us a limited license to process your data to provide the Service
• You can export or delete your data at any time through your account
• We do not claim ownership of your uploaded content

7.2 Detection Results

• AI-generated analysis results are provided to you under your subscription
• You may use detection results for your business purposes
• Results are provided "as-is" without warranties of accuracy

7.3 Service Data

• We own all rights to the KONNETEC platform, software, and AI models
• You may not copy, modify, or create derivative works from our Service
• We may use anonymized, aggregated data to improve our Service

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information and uploaded data. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Service Availability and Support

9.1 Uptime

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for downtime caused by third-party services (OpenAI, AWS, etc.)

9.2 Support

• Free Plan: Community support and documentation
• Paid Plans: Email support with response within 24-48 hours
• Enterprise: Priority support with dedicated account manager

10. Intellectual Property Rights

• KONNETEC, our logo, and all related trademarks are our property
• The Service, including software, algorithms, and AI models, is protected by copyright and other intellectual property laws
• You may not use our intellectual property without written permission
• You may not remove or alter any copyright, trademark, or proprietary notices

11. Third-Party Services

Our Service may integrate with third-party providers for:

• AI Processing: Third-party AI services subject to their respective terms
• Payment Processing: Secure payment processing subject to provider terms
• Infrastructure: Hosting and cloud services subject to provider terms

We are not responsible for the availability, functionality, or terms of third-party services.

12. Warranties and Disclaimers

12.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 AI Detection Accuracy

• We do not guarantee 100% accuracy in license plate recognition or object detection
• Results may vary based on image quality, lighting, angles, and other factors
• You are responsible for verifying critical results independently
• Detection confidence scores are estimates and not guarantees

12.3 No Legal Advice

Our Service does not provide legal advice regarding surveillance, privacy laws, or data protection regulations. You are responsible for ensuring your use complies with applicable laws.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KONNETEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless KONNETEC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including privacy rights
• Your uploaded content or detection results
• Your violation of applicable laws or regulations

15. Termination

15.1 By You

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You may request account deletion, which will permanently remove your data

15.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our Acceptable Use Policy
• Your payment fails and remains unpaid
• You engage in fraudulent or abusive behavior
• Your use poses a security risk to our Service or other users
• We are required to do so by law

15.3 Effect of Termination

• Upon termination, your access to the Service will cease immediately
• We may delete your data according to our retention policies
• Fees paid are non-refundable except as stated in Section 5.3
• Provisions regarding liability, indemnification, and dispute resolution survive termination

16. Modifications to Terms

We may modify these Terms at any time. We will notify you of significant changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending an email notification to registered users
• Displaying an in-app notification

Continued use of the Service after changes constitute acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@konnetec.com to attempt informal resolution.

17.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court.

17.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions, class arbitrations, or representative proceedings.

18. Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in [Your Jurisdiction] for any disputes not subject to arbitration.

19. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and KONNETEC
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any provision does not waive our right to enforce it later
• Assignment: You may not assign these Terms; we may assign them without restriction
• Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control

20. Export Compliance

You agree to comply with all applicable export and import laws. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government prohibited parties list.

These Terms of Service are effective as of the date stated above. By using KONNETEC, you acknowledge that you have read, understood, and agree to be bound by these Terms.
